Service Provider Agreement
1. Marketplace Participation
This Service Provider Agreement governs participation as a provider on Logis.cy. It applies in addition to the Terms of Service and focuses on onboarding, professional conduct, pricing integrity, and provider responsibilities toward clients using the platform.
You participate as an independent professional or professional firm. Nothing in this platform relationship creates an employment, partnership, agency, or exclusive representation arrangement between you and Logis.
2. Provider Status and Professional Responsibility
You remain solely responsible for your own regulated activities, advice, deadlines, work product, client engagement terms, professional insurance, licensing, and compliance obligations. Logis does not supervise or assume professional responsibility for your services.
3. Onboarding, Verification, and Profile Accuracy
You must provide accurate legal-entity, ownership, licensing, and contact information during onboarding and keep your profile current at all times.
Logis may request updated documents or suspend visibility where verification is incomplete, inconsistent, or no longer current.
4. Client Engagement Standards
- Respond to client enquiries within a commercially reasonable time.
- Provide clear scope, assumptions, pricing, and turnaround expectations.
- Maintain professional confidentiality and handle client data lawfully.
- Avoid misleading statements, hidden fees, or conduct that undermines trust in the marketplace.
5. Fees, Billing, and Off-Platform Conduct
Commercial arrangements may include direct provider-client billing, platform fees charged by Logis, or a combination of both. You must not use the platform in bad faith to source leads and then evade clearly disclosed platform charges, onboarding obligations, or billing rules that apply to your account.
6. Data Protection and Confidentiality
You may access client information only to evaluate, onboard, or deliver the relevant professional services. You must apply your own GDPR-compliant safeguards, keep appropriate records, and retain your own authoritative files where your profession or law requires it.
7. Professional Insurance and Indemnification
Where your profession requires or recommends professional indemnity insurance, you must maintain adequate coverage for the duration of your participation on the platform and for a reasonable run-off period after any engagement ends. Logis may request evidence of insurance as part of onboarding or periodic review.
You agree to indemnify and hold harmless Logis from claims, losses, and reasonable expenses arising from your professional services, your breach of this Agreement, inaccurate profile information, or any third-party claim related to your conduct on the platform. This indemnity does not apply to the extent a claim arises solely from Logis' own wilful misconduct or gross negligence.
8. Non-Circumvention
During your participation on the platform and for twelve (12) months after your last engagement facilitated through Logis, you must not knowingly solicit or accept direct engagements from clients introduced through the marketplace in a manner designed to circumvent applicable platform fees or billing terms. This clause does not restrict pre-existing client relationships or relationships established entirely independently of the platform.
9. Suspension, Termination, and Cyprus Law
Logis may suspend or remove a provider for inaccurate onboarding information, expired credentials, security concerns, non-payment of platform fees, repeated complaints, or conduct that creates legal, reputational, or operational risk for the marketplace.
