Terms of Service
1. Platform Scope
Logis.cy is operated by Kypos Ltd as a Cyprus-focused marketplace for business and professional services, including legal, accounting, compliance, and related advisory work. These Terms govern access to the platform, messaging and workflow tools, onboarding, and any platform services that Logis makes available in its own name.
These Terms apply to clients, prospective clients, providers, and any other person who accesses the platform. By creating an account, browsing provider listings, or using the platform in any manner, you confirm that you have authority to act for yourself or for the business you represent.
2. Platform Role and Contract Structure
Logis mainly acts as an intermediary technology platform. Unless a service or fee is expressly identified as supplied by Logis, professional services are offered and delivered by independent providers and the underlying engagement is between the client and that provider.
- Logis is not a law firm, accounting firm, fiduciary, or regulated professional practice by default.
- Provider profiles, availability, and onboarding status are curated and reviewed by Logis, but that review is not a guarantee of suitability for every mandate.
- Where Logis charges platform fees, onboarding fees, subscription fees, or other fees in its own name, those fees form a direct contract between the user and Logis.
3. Eligibility, Accounts, and Verification
The platform is intended primarily for businesses, founders, and professional service providers operating in or engaging with Cyprus. Users must provide accurate, current, and complete information and must keep credentials confidential.
- Clients must ensure that the person opening an account is authorised to request services and share business information.
- Providers must complete Logis onboarding and any requested verification before being listed, matched, or permitted to use provider-only tools.
- Logis may request additional identity, business, licensing, or compliance information at any time where reasonably necessary.
4. Permitted Use and Platform Rules
You may use the platform only for lawful business purposes consistent with these Terms. You must not misuse the marketplace, interfere with security controls, or upload material that infringes rights or breaches confidentiality obligations.
- No unlawful, misleading, defamatory, infringing, or fraudulent content.
- No attempts to bypass access controls, scrape data, reverse engineer core services, or test vulnerabilities without permission.
- No use of the platform to transmit malware, unsolicited advertising, or material that you are not entitled to disclose.
5. Provider Listings and Engagements
Provider listings are informational and operational marketplace tools. Clients remain responsible for evaluating whether a provider is suitable for their matter, and providers remain responsible for the professional quality, legality, timing, and outcome of their own services.
Unless the platform expressly states otherwise, Logis does not guarantee that any listing will result in an engagement, that any client will select a provider, or that an engagement will continue for any minimum period.
6. Fees, Billing, and Taxes
Pricing on the platform may include provider fees, platform fees, subscriptions, onboarding charges, or other commercial terms. Payment flows may vary by product and may occur on-platform, off-platform, or partly through each route.
- Provider-to-client service fees are ordinarily agreed between those parties unless Logis expressly states that it is collecting or processing payment on their behalf.
- Any fees charged directly by Logis are payable in EUR unless stated otherwise and may be subject to VAT or other indirect taxes where legally required.
- Each user is responsible for its own invoicing, VAT treatment, withholding obligations, and tax reporting except to the extent Logis expressly agrees otherwise in writing.
7. User Data, Documents, and AI-Assisted Processing
The platform is designed to facilitate communication, onboarding, service coordination, and secure transfer of information. It is not offered as a long-term records repository, and users remain responsible for keeping their own complete records, statutory books, matter files, and evidence copies.
Logis does not routinely read user documents manually unless required for support, security, legal compliance, or as otherwise authorised by the user.
- Platform materials may be processed automatically for malware scanning, security controls, and limited AI-assisted workflow features.
- Users must not upload material unless they have a lawful basis and authority to share it with the intended provider or recipient.
- Special-category or highly sensitive personal data should only be uploaded where strictly necessary, lawfully permitted, and appropriately protected by the user and the receiving professional.
8. Intellectual Property and Platform Materials
Logis and its licensors retain all intellectual property rights in the platform, software, workflows, branding, and marketplace content, except for user-generated content and provider materials that belong to their respective owners.
Users receive a limited, non-exclusive, revocable right to use the platform for its intended business purpose. No right is granted to copy, republish, adapt, or commercially exploit platform materials except as expressly permitted by law or by written consent.
9. Suspension, Termination, and Service Changes
Logis may suspend, restrict, or terminate access where reasonably necessary to protect users, investigate complaints, comply with law, enforce these Terms, or manage platform risk. Users may stop using the platform at any time, subject to any continuing payment obligations or live engagements already accepted.
- Logis may remove listings, pause onboarding, or disable features where compliance, trust, or security concerns arise.
- Logis may update, improve, replace, or discontinue platform features in the ordinary course of operating a startup platform.
- Termination does not affect accrued rights, fees already due, confidentiality obligations, or clauses intended to survive.
10. Disclaimers and Limitation of Liability
The platform is provided on an "as is" and "as available" basis to the fullest extent permitted by law. Logis does not warrant uninterrupted availability, error-free operation, or that a provider, lead, or engagement will meet a user’s commercial, legal, or professional expectations.
To the fullest extent permitted by applicable law, Logis is not liable for indirect, incidental, special, consequential, or loss-of-profit damages, nor for the acts, omissions, advice, or work product of independent providers. Any direct liability of Logis arising out of these Terms is limited to the total amount of direct fees paid to Logis by the relevant user during the twelve months before the event giving rise to the claim.
Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited under the laws of the Republic of Cyprus or the European Union.
11. Indemnification
You agree to indemnify and hold harmless Logis, its officers, directors, employees, and agents from and against any claims, losses, damages, liabilities, and reasonable expenses (including legal fees) arising out of or related to your breach of these Terms, your misuse of the platform, content or information you submit through the platform, or any third-party claim relating to your use of the marketplace.
This indemnity does not apply to the extent that a claim arises solely from Logis’s own wilful misconduct or gross negligence.
12. Changes to These Terms
Logis may update these Terms from time to time to reflect changes in law, the marketplace model, product features, or operational requirements. Material changes will be communicated through the platform interface, by email to the address associated with your account, or through both channels.
If you continue to use the platform after the stated effective date of updated Terms, you accept the revised version. If you do not agree with a material change, you should stop using the platform before the new effective date. Continued obligations under live engagements, accrued fees, and clauses intended to survive termination are not affected by discontinuation.
13. General Provisions
Users must treat non-public information received through the platform as confidential and may use it only for the relevant onboarding, engagement, compliance, or support purpose. Complaints about platform conduct may be sent to the relevant Logis contact email, and complaints about professional work should first be addressed with the relevant provider.
Neither party is liable for delays or failures in performance resulting from events beyond its reasonable control, including but not limited to natural disasters, wars, pandemics, government actions, utility failures, cyberattacks, or third-party service outages, provided the affected party uses reasonable efforts to mitigate the impact and resume performance.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions continue in full force and effect. These Terms, together with the Privacy Policy, Cookie Policy, and any applicable Client Agreement, DPA, or Provider Agreement, constitute the entire agreement between you and Logis with respect to the platform, superseding all prior or contemporaneous communications.
These Terms are governed by the Laws of the Republic of Cyprus. The courts of the Republic of Cyprus have exclusive jurisdiction, unless mandatory law requires a different forum.
